Terms of Use for Orderpicking App Users

Welcome to Orderpicking App. Please read these Terms of Use carefully before installing or using our Services via the IdoSell Platform. By installing, accessing, or using the Services, you agree to be bound by these Terms.
These Terms of Use together with our Privacy Policy and our Data Processing Addendum (“DPA”), incorporated herein by reference, constitute the agreement (the “Agreement”) between:
• Orderpicking App, operated by Arture B.V., with its principal office at Ieplaan 10, 2951CB Alblasserdam, The Netherlands (referred to as “Orderpicking App”, “we”, “us”, or “the Company”); and
• any person or entity installing, registering for, or using the Services via IdoSell (referred to as “Customer” and “you”).
Collectively the “Parties”, individually a “Party”.
IMPORTANT NOTICE
BY INSTALLING OR USING THE SERVICES YOU:
1. acknowledge that you have read, understood, and accepted this Agreement;
2. represent and warrant you are authorized to enter into this Agreement on behalf of the account owner; and
3. agree your use of the Services is for commercial/business purposes only.
If you do not agree, do not install, access or use the Services.
This Agreement is effective on the earliest of:
(a) the date you install the Services through IdoSell Apps,
(b) the date you first access or use the Services, or
(c) the date an applicable Order Form is accepted (the “Effective Date”).
1. Definitions
“Account” means the Customer account created in Orderpicking App and/or the installation context created via IdoSell Apps to access and use the Services.
“Authorized User” means any person authorized by the Customer to access the Services (e.g., Admin, Picker, Supervisor). Each user must have individual credentials unless the Service explicitly supports shared device sessions.
“Customer Data” means all data and content made available by Customer through the Services, including order data, product data, warehouse processes, picking tasks, and any other operational data imported from or synced with IdoSell.
“IdoSell” means IAI S.A. or the relevant IdoSell entity providing the IdoSell Platform and IdoSell Apps Marketplace (the “IdoSell Platform”).
“IdoSell Platform” means the IdoSell e-commerce ecosystem, including its marketplace, admin panel, APIs, and connected services.
“IdoSell Account” means the Customer’s account in IdoSell through which installations, subscriptions, billing and API access are managed.
“Marketplace / IdoSell Apps” means the IdoSell marketplace used to browse, install, and manage third-party apps, including Orderpicking App.
“Services” means Orderpicking App and related features provided through IdoSell Apps, including integrations, dashboards, mobile picking flows, and supporting applications.
“Personal Data” means information relating to an identified or identifiable natural person processed under Customer’s Account.
2. General
2.1 Relationship with IdoSell
Orderpicking App is a third-party application that may be installed and used via the IdoSell Apps Marketplace.
IdoSell is not a party to this Agreement. IdoSell does not provide the Services and is not responsible for the functionality, availability, performance, or support of Orderpicking App, except as required under IdoSell’s own terms.
You remain bound by IdoSell’s applicable terms, including marketplace terms and platform policies, when using IdoSell or installing apps.
2.2 Internet access & compatibility
Customer is responsible for its hardware, scanners, mobile devices, Wi‑Fi connectivity, and system configuration. We do not guarantee compatibility with third-party devices or software beyond the specifications in our documentation.
2.3 Updates to these Terms
We may modify these Terms from time to time. Updated terms become effective immediately upon posting. Changes affecting pricing will be communicated at least 30 days in advance, where required.
3. Access and Use of the Services
3.1 Account information
Customer must maintain accurate information in the IdoSell Account and any information required in the Services.
3.2 Authorized Users & access limits
Use of the Services may be subject to limits (users, warehouses, orders, scans, storage, etc.) based on plan level. Customer is responsible for all activity under its Account and ensuring credentials are not shared improperly.
3.3 API access and authorization (IdoSell)
By installing and using Orderpicking App through IdoSell, Customer expressly authorizes Orderpicking App to access necessary data via the IdoSell API to provide the Services. This may include access to:
• orders and order statuses
• product catalog and SKU data
• warehouse and inventory data
• shipment / tracking information
• customer contact details (only if required for fulfillment workflows)
Orderpicking App will only access and process data reasonably necessary for the operation and improvement of the Services and as described in our Privacy Policy and DPA.
3.4 Customer responsibility for data scope
Customer is responsible for configuring access and API permissions in the IdoSell Platform. Customer acknowledges that incorrect configuration can result in over-sharing data, under-sharing required data, or service interruptions. Orderpicking App is not liable for issues caused by Customer’s configuration or IdoSell environment limitations.
3.5 Minimum age
Customer must be at least 16 years old to register or use the Services.
4. Billing, Payments & Refunds (IdoSell)
4.1 Billing handled by IdoSell
All billing, invoicing, payment processing, and subscription management for Orderpicking App installed via IdoSell Apps are handled by IdoSell, under IdoSell’s applicable billing and marketplace terms. Orderpicking App does not issue invoices and does not directly process payments for subscriptions sold via IdoSell.
4.2 Payment disputes and refunds
Any disputes about charges, invoice errors, refunds, payment methods, or subscription cancellations must be handled according to IdoSell’s processes and terms. To the fullest extent permitted by law, Orderpicking App is not responsible for payment disputes, invoicing errors, chargebacks, refund claims, or billing delays originating from IdoSell’s billing system.
4.3 Suspension due to non-payment
If IdoSell notifies us that payment is overdue or subscription is suspended, we may restrict or suspend access to the Services without liability.
5. Acceptable Use Policy
Customer agrees not to use the Services in a way that is unlawful, harmful, deceptive, or infringes rights of others, including:
• distributing malware, attempting unauthorized access, or compromising system security
• reverse engineering, hacking, or attempting to copy the Services
• using the Services for illegal benchmarking or competitive intelligence
• violating privacy laws or collecting personal data without proper legal basis
• misrepresenting AI-generated content as human-generated (if applicable to AI features)
We may suspend or terminate access for violations.
6. Third‑Party Services & Platform Limitations
6.1 IdoSell as a Third‑Party Platform
Customer acknowledges that parts of the Services rely on the IdoSell Platform, and that performance or availability may depend on IdoSell uptime, API availability, rate limits, permissions, or platform changes. Orderpicking App is not responsible for interruptions caused by IdoSell outages, API restrictions, or changes in IdoSell functionality.
6.2 Third‑party components
If the Services use third-party libraries or integrations, those components may be subject to their own terms.
7. Support & Maintenance (Useful Clause)
7.1 Support scope
Orderpicking App provides support for the Services and will make reasonable efforts to respond to support requests within commercially reasonable timeframes. Support is provided via the channels described on our website or within the application.
7.2 IdoSell platform issues
Issues relating to IdoSell platform performance, billing, marketplace subscriptions, or IdoSell account access must be handled by IdoSell under their terms. Orderpicking App is not responsible for resolving issues originating from IdoSell systems.
7.3 Maintenance & updates
We may deploy updates, improvements, patches, or maintenance releases to the Services. We may perform scheduled or emergency maintenance that may temporarily affect availability. Where reasonably possible, we will provide advance notice for planned maintenance.
8. Data Export, Retention & Uninstall (Useful Clause)
8.1 Export of Customer Data
During an active subscription, Customer may request an export of Customer Data reasonably available for export (such as pick history, operational logs, or configuration data), subject to technical feasibility and legal requirements.
8.2 Retention after uninstall or termination
Upon uninstalling the application from IdoSell or termination of the subscription, Orderpicking App may retain Customer Data for a limited period to comply with legal obligations, resolve disputes, or provide reactivation functionality, as further described in our Privacy Policy and DPA.
Unless legally required to retain data, Customer Data will be deleted or anonymized within a reasonable period following termination, subject to backup retention cycles. Some data may remain in backups for a limited time and will be deleted in accordance with standard backup policies.
8.3 IdoSell data remains with IdoSell
Customer understands that uninstalling Orderpicking App does not delete data stored within the IdoSell Platform. IdoSell remains responsible for data stored within their systems, under IdoSell’s terms and policies.
9. Service Levels (Useful Clause)
9.1 No formal SLA unless stated
Unless explicitly stated in an Order Form, the Services are provided without a formal service level agreement (SLA). We aim to provide a reliable service, but do not guarantee uninterrupted availability.
9.2 Availability dependencies
Customer acknowledges availability may be affected by third-party dependencies, including the IdoSell Platform, network providers, device limitations, and internet connectivity.
10. Ownership & Confidentiality
Orderpicking App retains all intellectual property rights in the Services. Customer retains ownership of Customer Data.
Customer agrees to protect confidential information belonging to Orderpicking App for 3 years after termination.
If Customer provides feedback, Customer grants Orderpicking App a perpetual, worldwide right to use and incorporate that feedback without compensation.
11. Warranty Disclaimer
Services are provided “as is” and “as available” without warranties, to the fullest extent permitted by law. We do not guarantee uninterrupted service or specific operational outcomes (such as improved pick speed).
12. Limitation of Liability
To the fullest extent permitted by law:
• Orderpicking App is not liable for indirect or consequential damages, loss of profits, or loss of data.
• Total liability for direct damages is limited to fees paid for the Services during the 12 months prior to the event.
13. Governing Law and Jurisdiction
This Agreement is governed by the laws of The Netherlands. Any disputes shall be resolved by the competent courts of Rotterdam, The Netherlands.
